Terms of Service
1. Agreement to terms
By accessing or using Briezo (the “Service”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Service.
These Terms form a legal agreement between you and Briezo (ABN 92 611 517 994), a business registered in Australia (“Briezo”, “we”, “us”, “our”).
2. Definitions
- Service — the Briezo ecommerce analytics platform, including the dashboard, APIs, tracking pixel, marketing pages, and any related features.
- User — any individual who creates a Briezo account or uses the Service.
- Merchant — a User who connects one or more ecommerce stores to Briezo.
- Content — any data, text, images, notes, or other material that flows through Briezo on your behalf, including data retrieved from connected third-party platforms.
- Subscription — a paid plan (Starter, Pro, or Scale) giving access to corresponding features.
- Connected Platform — any third-party service you link to Briezo (Shopify, Meta Ads, TikTok Ads, Google Ads, Pinterest, Snapchat, Klaviyo, Mailchimp, Omnisend, Recharge, Loop, Stripe, etc.).
3. Description of service
Briezo is a multi-channel ecommerce analytics platform. It connects to your store and marketing platforms via their official APIs and presents unified performance data, including:
- Revenue, orders, profit, and P&L analytics
- Ad performance across Meta, TikTok, Google, Pinterest, and Snapchat
- Email and SMS marketing metrics (Klaviyo, Mailchimp, Omnisend)
- Subscription and returns analytics (Recharge, Loop)
- Customer segmentation (RFM), lifetime value, and cohort analysis
- Competitor intelligence (public store snapshots, tech stack detection, price tracking, ad library tracking)
- A first-party Web Pixel for attribution and customer journey tracking
- Post-purchase attribution surveys
- AI-generated insights, Daily AI Brief, and scheduled reports via email and Slack
Briezo uses read-only API access wherever possible. We do not modify, publish, or take actions on your Connected Platforms except where you explicitly authorise it (for example, installing the Briezo Web Pixel on your Shopify storefront).
4. Accounts
- You must provide accurate and current information when creating an account and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must be at least 18 years old and authorised to enter into a binding agreement on behalf of yourself or the business you represent.
- One account per person. Credentials may not be shared. Scale plans include a team member feature that is the proper way to give multiple people access.
- You must notify us immediately at hello@briezo.com of any unauthorised access to your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
5. Subscriptions & billing
Briezo offers three paid Subscription tiers:
- Starter — $29/month. Up to 3 connected stores, Meta Ads integration, all dashboard tabs, 30-day data history, email support.
- Pro — $89/month. Up to 10 connected stores, all ad platforms (Meta, TikTok, Google, Pinterest, Snapchat), Competitor Intelligence, Daily AI Brief, RFM segmentation, email marketing integrations, P&L and LTV analytics, 90-day data history, priority support.
- Scale — $149/month. 25 stores, team member access (25 seats), 365-day data history, priority support, API + MCP access, scheduled data exports.
Annual billing is available at a discount equivalent to approximately two months free.
- Subscriptions are billed in advance on a monthly or annual basis via Stripe, or via Shopify Billing if installed through the Shopify App Store.
- Subscriptions automatically renew at the end of each billing period unless cancelled.
- You may cancel at any time from inside the dashboard or via your Shopify admin. Cancellation takes effect at the end of the current billing period — no pro-rata refunds for partial periods.
- Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period.
- We reserve the right to change pricing with at least 30 days' notice. Existing subscribers will be notified by email before any price change affecting them.
- If a payment fails, we will attempt to collect a small number of times and email you. If payment is not resolved, the account will be downgraded to the Free plan.
- All payments are processed by Stripe (or Shopify Billing) and are subject to their respective terms.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in breach of any applicable law or regulation
- Reverse-engineer, decompile, scrape, or otherwise attempt to extract the source code or underlying logic of Briezo
- Attempt to gain unauthorised access to any part of the Service, other users' accounts, or related systems or networks
- Use the Service to store or process personal data of end customers in ways that exceed what is required to provide analytics to the Merchant who owns that data
- Share account credentials with anyone not authorised to use them
- Resell, sublicense, or rent the Service without a written agreement with us
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the Service, its infrastructure, or any Connected Platform
- Use the Service to transmit malware, spam, or abusive content
7. Third-party integrations
When you connect a third-party platform to Briezo, you authorise Briezo to access your data on that platform using the permissions you grant, solely for the purpose of providing analytics inside your Briezo dashboard.
- You confirm that you have the right to grant such access and that doing so does not breach any agreement you have with the Connected Platform.
- Your use of each Connected Platform remains subject to its own terms of service and privacy policy.
- Briezo is not affiliated with, endorsed by, or sponsored by Shopify, Meta, TikTok, Google, Pinterest, Snapchat, Klaviyo, Mailchimp, Omnisend, Recharge, Loop, or any other Connected Platform.
- Briezo is not responsible for outages, rate limits, data gaps, or changes to the APIs of Connected Platforms. Where a Connected Platform's API returns incomplete or delayed data, the analytics shown in Briezo will reflect that.
- We use official, published APIs for all Connected Platforms. Specifically: the Shopify Admin API and Web Pixels Extension, the Meta Marketing API, the TikTok Business API, the Google Ads API, the Pinterest Ads API, and the Snapchat Marketing API.
8. Data ownership & privacy
You retain ownership of all data in your connected accounts. We do not claim any rights to your store, advertising, or customer data. You grant Briezo a limited, non-exclusive license to process that data solely for the purpose of operating the Service for you.
Our handling of personal data is described in full in our Privacy Policy, which is incorporated into these Terms by reference. In particular, Briezo complies with Shopify's Protected Customer Data policy and processes customer data from Shopify stores only to provide analytics to the Merchant who owns the store.
License to use anonymized metrics
By using Briezo, you grant us a worldwide, non-exclusive, royalty-free license to use anonymized, aggregated metrics derived from your store's data for the purpose of providing industry benchmarks and statistical insights to other Briezo merchants. This license:
- Applies only to data that has been aggregated across at least five (5) merchants per bucket and stripped of all identifiers
- Survives termination of your subscription, but applies only to data collected during your subscription period
- Does not include any right to use your raw data, customer data, or personally-identifiable information
You may opt your store out of new aggregations at any time in Settings → Privacy. Opt-out cannot retroactively remove your contribution from already-computed aggregate snapshots, since those snapshots no longer distinguish individual contributors. See section 6a of our Privacy Policy for the full description.
Artificial intelligence model training
We use the Anthropic Claude API to power AI features in Briezo. We do not use your data to train, fine-tune, or otherwise improve AI models — ours, Anthropic's, or any other third party's. Data sent to the Anthropic API for inference is governed by Anthropic's data-use policy, which prohibits use of API inputs for model training.
9. Intellectual property
Briezo, including its code, design, visuals, text, branding, and all other Service components, is owned by Briezo and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, publicly display, or create derivative works from any part of the Service without our prior written permission.
Any feedback, suggestions, or ideas you voluntarily provide about the Service may be used by Briezo without obligation to you.
10. Service availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated where practical. We are not liable for downtime, data delays, or data loss caused by Connected Platforms (Shopify, Meta, TikTok, Google, Pinterest, Snapchat, Klaviyo, Stripe, etc.) or by our upstream infrastructure providers.
11. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
We do not warrant that analytics displayed in Briezo will be 100% accurate at all times. Accuracy depends on the data returned by Connected Platforms and on configuration settings you control (for example, your COGS values or attribution model choice).
Nothing in Briezo constitutes financial, investment, tax, or legal advice. Business decisions you make based on data in Briezo are your own responsibility.
12. Limitation of liability
To the maximum extent permitted by applicable law, Briezo shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of the Service, including but not limited to loss of revenue, loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the amount you paid to Briezo in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under the Australian Consumer Law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Briezo, its directors, employees, and contractors, from any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) the content or data you connect to or submit through the Service.
14. Termination
You may terminate your Briezo account at any time from the billing settings, or by emailing hello@briezo.com. Uninstalling the Briezo app from Shopify also terminates the connection to that store and triggers automatic data deletion within 48 hours per our Privacy Policy.
We reserve the right to suspend or terminate your account, with or without notice, for breach of these Terms, non-payment, suspected fraud, abuse of the Service, or for any reason at our reasonable discretion.
On termination: your access to the Service ends, your subscription stops renewing, and your data is deleted within 30 days in accordance with the Privacy Policy. Sections of these Terms that by their nature should survive termination (including sections on intellectual property, liability, indemnification, and governing law) will survive.
15. Changes to terms
We may update these Terms from time to time. For material changes, we will notify logged-in users by email and via a notice inside the dashboard at least 14 days before the change takes effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may cancel your subscription.
16. Governing law
These Terms are governed by the laws of the State of Victoria, Australia, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Victoria, Australia, and you consent to the personal jurisdiction of those courts.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
